LAW 0688: Role of In-House Counsel

Course Description

This course will focus on the role of in-house counsel in today's technology- and business-driven world.  The Course will be operated as a scenario-based group tutorial, meaning that students will be expected to operate as if they work in-house in a real firm through a series of in-class and written exercises. Readings and pre-lectures will be provided to prepare students for a particular scenario, with a typical class beginning with one hour of student presentations and discussion of their responses to a scenario and then a pre-lecture or discussion of the next week's scenario.  Topics covered will include the role of the in-house counsel, lawyer/client conflicts, internal and governmental investigations, whistleblowers, employment issues, technology and social media challenges, managing a crisis, lobbying government entities, compliance programs, disclosure duties, mergers and acquisitions, environmental regulation, and sexual harassment. Sixty percent of the course grade will based on students' in-class and written responses to individual scenarios. Forty percent of the course grade will be based on students' individual performance in the development and delivery of a final presentation on a large scale, multi-issue scenario.
