Course Description

This course provides an overview of the taxation of corporations, their shareholders, and transactions between and among them. It examines the concept of a corporation for tax purposes, corporate formations, debt versus equity interests, dividends and distributions, redemptions, liquidations, taxable and tax free mergers and acquisitions, and corporate divisions (reorganizations).
