Course Description
Current Topics courses are developed to cover timely, topical or specialized content regarding the Law (from Administrative Law - Taxation) and they do not repeat material presented by regular semester course.
The European Union comprises 27 European states and 450 million people, and the importance of the relationships between the U.S. and EU is generally known. This short course will firstly provide a brief introduction to the EU legal system, taking in consideration the different sources of EU law. Then, it will analyze a particular aspect of the trade between the U.S. and EU. Its importance is also well known, since a large part of the world's GDP is generated by transatlantic trade. European companies are very often the protagonists in trading relationships with U.S. companies. Therefore, an adequate knowledge of the main rules about European companies can benefit U.S. law students (and foreign law students studying in the U.S.) by making it easier for them to understand how such companies work. A general understanding of EU company law will allow foreign lawyers to interact with European companies and operators more efficiently. After an introduction to EU law, the topics that will be covered include harmonization of Company law in the EU through Directives and Regulations; formation of public limited liability companies and maintenance and alteration of their capital for the protection of members’ and third parties’ interests; validity of obligations entered into by the company; annual and consolidated accounts.

Additional Time Requirements
This is a Winter Intersession course only. Class meets January 8-12, 6:00 - 8:30 PM. Students can register for one or both intersession course(s). Final Exam: Take home to be completed January 13-15.
