Course Description

This course will study the governance structure and disclosure system, in which public companies operate, including the framework for effective corporate governance, such as director independence and board composition; requirements for audit, compensation and nominating and governance committees of the board of directors; public company disclosure filings; and the duty to disclose and update disclosures.
