LAW 0508: Corporations

Course Description

This course is an introduction to the law and policy governing the formation and operation of various business associations. Corporations are legally created entities designed to facilitate accumulation of large amounts of capital. They achieve this by enabling passive investment and the separation of ownership and control. Investors are offered the opportunity for a financial return on their investment without having to undertake financial risk above the amount invested or assume responsibility for managing the enterprise. The course begins with the foundational principles of agency law, which are critical to understanding the liability rules for all business entities. Most of the law governing corporations is designed to regulate the relationships between owners (equity investors) and managers, and to provide rules that govern managers in the exercise of power over company actions.

Additional Time Requirements

This is a short duration, intensive course. In addition to the regular M/W meeting pattern, class will also be scheduled on three Fridays (January 23, January 30 and March 13). The three Friday classes may be recorded and or available synchronously via Zoom..
