LAW 5086: Corporate Restructuring

Course Description

Every year, thousands of businesses encounter financial distress, from small local enterprises to the largest corporations. They usually seek to survive (rather than liquidate), through a process known informally to lawyers as "corporate restructuring." The law of corporate restructuring is dominated by Article 9 of the Uniform Commercial Code (secured transactions, a subject relevant to many bar exams) and chapter 11 of the United States Bankruptcy Code. Although the course is organized around these statutes, practice in this context puts a premium on strategy and negotiation, and so the course uses problems to illustrate the realistic challenges that all businesses - and thus all lawyers advising or litigating with businesses - must face when their clients or adversaries encounter financial distress.
